I think it's depends on the dealer.

My dealer won't allow me to stack this $3250 on top of our straight off MSRP negotiated price. And gave me 2.9% BMWFS apr at the delivery even knowing me have the 1.9 pre-approval from PenFed (this forced me to go with the 2.9 because of the $2500 finance credit, otherwise I will go with PenFed because there is a $1250 difference)

So then I refinance the new car with PenFed @1.9 two weeks later.

Your dealer is playing games with you, since the $3250 doesn't come out of their pocket. The 'straight MSRP' negotiated price for them was clearly not a dealer discount.

Penfed doesn't allow you to use BMWFS for financing (otherwise it is only $500). They marked up your rate the maximum allowed on the BMWFS deal for extra profit. If you refinance within 60-90 days, the dealer will probably get charged back for that, which based on your description I think they deserve here.

To be honest, this is why you need to have all the data before walking in to the dealer. I would have personally refused to do business with a dealer operating in such a manner.

Assuming you did not have an OL code (which doesn't stack with PenFed), then at the very least they screwed you out of $500 which would not have cost them anything.

I would want to walk away at that time, but it's a customized order that I had waited for about 8 weeks.

I thought that I did all my homework, but once they refused to apply that $3250, I have much less negotiating power even with the PenFed bank draft.

I experienced similar issue with my dealership. They told me that they will give me $5k off MSRP for the cash deal. So I asked what if the custom order arrives and the financing incentives become available then, they said then they will take the financing incentives off my $5k discounts (i.e. if I receive $2k financing incentives, then they will give me $3k discount off MSRP only). I think that is utter BS as well because the financing incentives are not out of the dealership's pocket anyway, so I don't understand why they would do this.

idk…. I also have the corporate $1000 incentive and it's also got refused to apply on top of the negotiated price They took the paperwork with the code as reference tho

Because most all dealers are sleazy...whether selling used or new cars, BMW or Yugo.

Penfed is an incentive you can generate a code for once per year. You must be a member of their credit union for at least 60 days to generate the code.

I personally negotiated "X amount off PRE-INCENTIVE as a dealer discount".

In your case, if they are saying $5k discount, I would respond back "That's pre-incentive right?". And then ask for it in writing.

Yes, I have it in writing that it's 5k off pre incentives. But they said if I end up getting financing incentives, they will deduct the financing incentives from the 5k discounts, which is completely counterintuitive to me because the financing incentives are not out of their pocket.

Sounds like what you have in writing does not agree with what they are telling you verbally. In that case I would escalate up as much as you need to, because legally, written overrules verbal agreement.
